These Terms of Service (the "Terms") govern your access to and use of the services provided by Fanflare Group, LLC. ("Fanflare"), namely the mobile application where these Terms are posted, websites, email notifications, and any and all related services (collectively the "Services"). These Terms also govern your access to any information, text, graphics, photos, audio, video or other materials made available through the Services (the "Content").

PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE ACCESSING OR USING ANY OF THE SERVICES.


Agreement

These Terms are a legal agreement between you and Fanflare. By accessing or using the Services, including downloading or using the Fanflare mobile application (the "App," which means the Fanflare mobile application and any updates or versions made available on authorized app stores), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

You represent that you have the authority to enter into these Terms and, if using the Services on a mobile device, that you own or control that device.

We may update these Terms from time to time. If changes materially affect your rights, we will notify you in the App or on our website. Your continued use of the Services after the updated Terms are posted constitutes your acceptance of them. If you do not agree to the updated Terms, you must stop using the Services.

Use of the Services is also subject to our Privacy Policy and any additional terms presented at the time of purchase or download, including any app-store terms that apply to your access to the App.

ARBITRATION NOTICE: These Terms contain a binding individual arbitration agreement and class-action waiver. Except where prohibited by law, disputes must be resolved by individual arbitration and not by jury trial or class action. You may opt out within thirty (30) days of first accepting these Terms. See the "Dispute Resolution" section for details.


Age Requirement

You must be 13 years of age (or 16 in the EEA) or older to use the Services.


Grant of License

We grant you a limited, personal, non-exclusive, non-transferable license to use the App for lawful, personal purposes. You may not: (i) use the Services in any unlawful or harmful manner; (ii) interfere with or disrupt the Services; (iii) access the Services using unauthorized methods; (iv) copy, modify, or distribute the Services unless expressly permitted.


Updates

We may update the App automatically from time to time. Updated versions may be required for continued use.


Purchase and Purchases

Some Services may require a paid subscription. Subscription fees are charged through your mobile platform provider (e.g., Apple or Google) or through Fanflare directly. You may cancel at any time through your device's subscription settings. Cancellations take effect at the end of the current billing period. A paid App may be purchased once through the applicable app store. All fees and paid App purchases are non-refundable unless required by law.


Automatic Renewal

If applicable, subscriptions automatically renew at the then-current rate unless canceled. Your account will be charged for renewal at the end of each billing period. You may turn off auto-renewal at any time in your device's subscription settings.


Features & Functionality

The features and functionality of the Services may change over time. Some features may include content or services provided by third-party partners or other users. Fanflare does not guarantee that any particular feature, content, or service will always be available, accurate, or reliable, and we may modify or discontinue features at any time.


Content on the Services

User Content

The Services may allow you and other users to submit, upload, or share content ("User Content"). You are responsible for any User Content you submit and for ensuring that it complies with all applicable laws and these Terms. You should only share content you are comfortable making public.

Fanflare may remove User Content at its discretion, including content we believe violates these Terms or is otherwise harmful. Fanflare may also terminate accounts of repeat infringers.

Prohibited Content

You agree not to submit User Content that is illegal, infringing, harmful, abusive, deceptive, or otherwise objectionable. Prohibited content includes, but is not limited to, content that: (i) infringes intellectual property or privacy rights; (ii) is unlawful, defamatory, hateful, harassing, or discriminatory; (iii) promotes violence or illegal activity; (iv) contains malware or harmful code; or (v) violates these Terms.

License to Fanflare

By submitting User Content, you grant Fanflare a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, modify, and distribute your User Content for the purpose of operating, improving, and promoting the Services. You represent that you have all rights necessary to grant this license.

Responsibility for User Content

Fanflare does not endorse or guarantee the accuracy of any User Content. Your use of User Content posted by others is at your own risk. Fanflare is not responsible for any errors, omissions, or losses resulting from User Content.

Monitoring and Disclosure

Fanflare is not obligated to monitor User Content, but we may do so at our discretion. We may access, preserve, or disclose content or information if required by law or if we believe it is reasonably necessary to: (i) comply with legal obligations; (ii) enforce these Terms; (iii) detect or prevent fraud or security issues; (iv) provide support or maintain the Services; or (v) protect the rights, property, or safety of Fanflare, users, or the public.

Third-Party Content and Services

The Services may include content, features, or links provided by third parties. Fanflare does not control and is not responsible for third-party sites, services, or content. Your use of third-party content is at your own risk and may be subject to the third party's own terms and privacy policies. Fanflare is not responsible for any transactions or interactions between you and any third party.


Security

You are responsible for maintaining the security of your account and device. We do not guarantee that unauthorized third parties will never access your information.


Registration / Passwords

Registration

Some features of the Services may require you to create an account. When registration is required, we will notify you at the time you attempt to access those features. Registration requirements for third-party services are governed by their own terms and privacy policies.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Fanflare immediately of any unauthorized access or use of your account.

Fanflare may suspend or terminate your account if we believe it has been compromised or used in violation of these Terms. Fanflare is not responsible for any losses arising from unauthorized use of your account unless such losses are caused by our negligence or misconduct.

Information You Provide

You agree to provide and maintain accurate, complete, and current information when creating an account or using the Services. If we believe that any information you provided is inaccurate or incomplete, we may suspend or terminate your access to the Services. Your information will be handled in accordance with our Privacy Policy.


Uninstall / Removal of the App

Uninstallation and removal methods vary depending on your device. To uninstall and remove the App, please use the application manager provided with your device or consult your device manual for reference. Please remember if you have a paid subscription to the App, uninstalling will not cancel your recurring payments. See our cancellation instructions above for more information.


Consent to Use of Data and User Reviews

You agree that we may collect and use technical data and related information, including but not limited to technical information about your device, system and application software, and peripherals, that is gathered periodically to facilitate the provision of software updates, product support and other services to you (if any) related to the Services. We may use this information in accordance with the relevant Privacy Policy.

Additionally, if you choose to provide app store reviews or reviews via any social media channel, or other similar communication or messaging features or services, such information may be made publicly available, including the public-facing username as it appears with the review. If you prefer that we do not use your app reviews for promotional purposes, you will be able to elect for us not to do so by contacting the support email below (please include your name, mailing address, and email address). For security purposes, please do not include any password, social security number, payment card or other sensitive information via these features. We have the right, but not the obligation to monitor messages and communications between and among users for security and training purposes. We may, but are not obligated to, remove any content we deem inappropriate.


Intellectual Property

The Services, including all Content, design, text, images, photographs, illustrations, audio-clips, video-clips, artwork, graphic material, code, content, protocols, software, and documentation provided to you by Fanflare are Fanflare's property or the property of Fanflare's licensors, and are protected by U.S. and international copyright, trademarks, patents and other proprietary rights and laws relating to Intellectual Property Rights. "Intellectual Property Rights" means, collectively, rights under patent, trademark, copyright and trade secret laws, and any other intellectual property or proprietary rights recognized in any country or jurisdiction worldwide, including, without limitation, moral or similar rights. You may not delete, alter, or remove any copyright, trademark, or other proprietary rights notice we or third party partners have placed on or within the Services. All rights not expressly granted hereunder are expressly reserved to Fanflare and its licensors.

Fanflare and Fanflare names, logos and affiliated properties, are the exclusive property of Fanflare or its affiliates. All other trademarks appearing through the Services, including in the App, are trademarks of their respective owners, and the use of such trademarks shall inure to the benefit of the trademark owner. Our partners or service providers may also have additional proprietary rights in the content which they make available through the Services. The trade names, trademarks and service marks owned by us, whether registered or unregistered, may not be used in connection with any product or service that is not ours, in any manner that is likely to cause confusion. Nothing contained in herein should be construed as granting, by implication, estoppel or otherwise, any license or right to use any of our trade names, trademarks or service marks without our express prior written consent.


Copyright

Copyright / Submissions

You are solely responsible for any Content you contribute, submit, display or for any adaptations of works made on or through your use of the App. It is your obligation to ensure that such Content, including photos, text, video and music files, does not violate any copyright or other Intellectual Property Rights. You must either own or have a license to use any Content that you contribute, submit or display.

Fanflare respects and expects its users to respect the rights of copyright holders. On notice, Fanflare will act appropriately to remove content that infringes the copyright rights of others. Fanflare reserves the right to disable the access to the App or other services by anyone who uses them to repeatedly infringe the Intellectual Property Rights of others. Please ensure your communication includes the following:

  • an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest
  • a description of the copyrighted work that you claim has been infringed
  • a description of where the material that you claim is infringing is located on the App
  • your address, telephone number, and email address
  • a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law
  • a statement by you that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf

Termination

Fanflare may suspend or terminate your access to the Services at any time if you violate these Terms or if we discontinue all or part of the Services. Upon termination, you must stop using the Services and delete all copies of the App in your possession or control.

To the fullest extent permitted by law, Fanflare will not be liable for any suspension or termination of your access to the Services.

Any provisions of these Terms that by their nature should survive termination (including warranty disclaimers, limitations of liability, dispute resolution terms, and intellectual-property provisions) will continue to apply after termination.


Disclaimer of Warranty

To the fullest extent permitted by law, the Services are provided "AS IS" and "AS AVAILABLE", without warranties of any kind. Fanflare and its affiliates, licensors, and service providers disclaim all express and implied warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

Fanflare does not warrant that the Services will be uninterrupted, error-free, secure, or meet your expectations; that any defects will be corrected; or that any information provided through the Services will be accurate or reliable. You assume all risk for your use of the Services.

To the fullest extent permitted by law, Fanflare is not responsible for any damage, loss, or harm resulting from: (i) access to or use of the Services; (ii) unauthorized access to or use of servers or personal information; (iii) interruptions or cessation of transmission; (iv) viruses or other harmful code transmitted through the Services; or (v) errors or omissions in any content.

If your jurisdiction does not allow the disclaimer of certain implied warranties, those parts of this disclaimer may not apply to you, and your rights remain unaffected.


Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FANFLARE AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, FANFLARE'S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID (IF ANY) FOR THE SERVICES DURING THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.


Indemnification

You agree to indemnify, defend and hold harmless Fanflare, its parents, affiliate and subsidiary companies, officers, directors, employees, consultants and agents from any and all third party claims, liability, damages and/or costs (including, but not limited to, attorneys' fees) arising from your use of the Services, your violation of these terms or your infringement, or infringement by any other user of your accounts, of any intellectual property or other right of any person or entity. You agree to immediately notify Fanflare of any unauthorized use of your account or any other breach of security known to you.


Export Controls

The Services and the underlying information and technology are subject to U.S. and international laws, restrictions and regulations that may govern the import, export, downloading and use of the App. You agree to comply with these laws, restrictions and regulations when downloading or using the apps.


Jurisdictional Availability

Fanflare does not represent or warrant that the Services or any part thereof is appropriate or available for use in any particular jurisdiction. We may limit the availability of the App, in whole or in part, to any person, geographic area or jurisdiction we choose, at any time and in our sole discretion.


Dispute Resolution

Informal Resolution

Before filing any dispute, you and Fanflare agree to first try to resolve it informally. Either party may start this process by sending a written notice describing the dispute. If the parties cannot resolve the matter within thirty (30) days, either may begin arbitration.

Binding Arbitration (U.S. Users Only)

Except for users in the EEA or where prohibited by law, any dispute or claim relating to these Terms or the Services will be resolved by binding individual arbitration, not in court. This means: (i) no jury trial; (ii) no class actions; (iii) a neutral arbitrator, not a judge, decides the dispute.

Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, unless the parties agree otherwise. Arbitration will be conducted by video or telephone unless an in-person hearing is required by the arbitrator.

Small-Claims Court Exception

Either party may bring an individual claim in small-claims court instead of arbitration, if the claim qualifies.

Intellectual Property Claims

Either party may seek injunctive or other equitable relief in court for claims involving unauthorized use of intellectual property.

Class-Action Waiver

All claims must be brought on an individual basis. You and Fanflare waive the right to participate in any class action, class arbitration, or other representative proceeding.

Opt-Out

You may opt out of arbitration within thirty (30) days of first accepting these Terms by sending an email to support@fanflaresports.com with your full name, mailing address, and a clear statement that you are opting out of arbitration. Opting out does not affect the rest of these Terms.

Governing Law

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
